Orrick Herrington & Sutcliffe LLP is seeking a Global Equity Compensation and Employment Associate or Managing Associate with 3-5 years of experience to join our Global Employment, Equity Compensation and Immigration practice.

The successful candidate will join the Global Employment and Equity Compensation team within the Employment Law Group and can sit in any Orrick office location. Duties will include counselling clients on a wide variety of day-to-day equity compensation and employment issues for large multinational as well as emerging company employers, including with regard to roll out of and ongoing compliance for stock option (SO), restricted stock unit (RSU) and employee stock purchase plan (ESPP) programs, securities and foreign exchange filings for SO, RSU and ESPP programs, leaves of absence, accommodations, return to office protocols, independent contractor classification, employment agreements and on boarding, performance management and termination. Other duties will include but are not limited to preparing multi-country analyses, drafting employment and compensation related documents and agreements, project managing global teams, conducting multijurisdictional research with global teams, and assisting with the preparation and delivery of analysis and research to clients in writing and in client meetings. This attorney would likely also work on employment agreements, handbooks, bonus and commission plans and diligence projects concerning equity compensation and employment aspects of global M&A transactions. The client focus would be primarily on the fast growth and technology company space.

Qualifications

The ideal candidate will have 3-5 years of employee equity compensation or employment counseling experience, with a strong preference for at least some cross-border experience. Strong academic credentials and exceptional verbal, written, interpersonal skills are required. All applicants must be admitted to the state bar in the office location in which they are applying. We appreciate candidates with direct experience with at least some of the duties required that are listed in this posting.

Compensation and Benefits
The expected salary range for this position is between $260,000 and $365,000.
